END USER LICENSE AGREEMENT

Azoth Audio -- Pattern Delay

Effective Date: June 22, 2026


This End User License Agreement ("Agreement") is a binding legal
agreement between you ("you," "Licensee," or "User") and Durante LLC
("Durante LLC," "we," "us," or "our"), the operator of the Azoth
Audio storefront through which the Software is offered, governing
your use of the Pattern Delay audio plug-in software, including any
documentation, presets, updates, and associated files (collectively,
the "Software"). "Azoth Audio" is a storefront and brand name of
Durante LLC and is not a separate legal entity.

BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU
ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND
AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL
OR USE THE SOFTWARE.


1. LICENSE GRANT

Subject to your compliance with this Agreement and payment of the
applicable purchase price, Durante LLC grants you a non-exclusive,
non-transferable, perpetual license to install and use the Software
for your own personal or commercial music and audio production
purposes.

This license is perpetual and one-time: there is no expiration and no
recurring fee for the version you purchased. It does not entitle you
to future paid versions, which may be offered separately.


2. PERMITTED USE

You may:

  - Install and use the Software on computers that you own or
    control, for use by you.

  - Use audio produced with the Software in your own commercial and
    non-commercial projects without any additional royalty or fee
    owed to Durante LLC.

  - Make a reasonable number of backup copies of the Software and
    your license key for archival purposes.


3. LICENSE KEY AND ACTIVATION

The Software is unlocked using a license key delivered to you after
purchase. The license key is issued to you and is tied to your
purchase. You are responsible for keeping your license key
confidential and secure. Durante LLC is not responsible for losses
arising from a license key that you have shared, published, or failed
to safeguard.

Because the Software verifies its license offline, license keys are
issued on a perpetual basis and are not remotely deactivated; this
makes safeguarding your key your responsibility. The Software does
not contact our servers during normal operation, except that, if you
choose to use the "Check for updates" feature, the Software will
retrieve a version file from azothaudio.com solely to inform you
whether a newer version is available. No personal information is
transmitted in that request.


4. RESTRICTIONS

You may NOT:

  - Copy, distribute, sell, rent, lease, sublicense, lend, or
    otherwise transfer the Software or your license key to any third
    party, except as expressly permitted in Section 5.

  - Reverse engineer, decompile, disassemble, or otherwise attempt
    to derive the source code, algorithms, or underlying structure
    of the Software, except to the limited extent such restriction
    is expressly prohibited by applicable law.

  - Circumvent, disable, remove, or tamper with any license
    verification, copy protection, or security mechanism in the
    Software.

  - Distribute, share, or publish your license key, or use a license
    key not issued to you.

  - Remove, alter, or obscure any copyright, trademark, or other
    proprietary notices.

  - Use the Software to develop a competing product, or incorporate
    the Software into a product whose primary purpose is to
    replicate the Software.


5. TRANSFER

This license is non-transferable. You may not resell or transfer your
license or license key. Any attempted transfer in violation of this
Section is void. Durante LLC may, at its sole discretion, accommodate
a one-time transfer request submitted in writing; such accommodation
is a courtesy and not an obligation.


6. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold. Durante LLC retains all right,
title, and interest in and to the Software, including all
intellectual property rights. This Agreement does not grant you any
rights to the trademarks, service marks, or logos of Durante LLC or
the Azoth Audio brand. All rights not expressly granted to you are
reserved by Durante LLC.


7. THIRD-PARTY COMPONENTS

The Software is built using the VST3 Software Development Kit, a
trademark of Steinberg Media Technologies GmbH, and may incorporate
other third-party libraries. VST is a registered trademark of
Steinberg Media Technologies GmbH. Audio Units (AU) is a technology
of Apple Inc. Such third-party components remain the property of
their respective owners and may be subject to their own license
terms, which are incorporated by reference where applicable. Your
use of the Software constitutes acceptance of those terms.


8. PURCHASES, PAYMENT, AND MERCHANT OF RECORD

Purchases of the Software are processed by Lemon Squeezy, which acts
as the authorized merchant of record (reseller) for the transaction.
Lemon Squeezy handles billing, payment processing, and the
collection and remittance of applicable sales tax and VAT. Your
purchase is also subject to Lemon Squeezy's terms and privacy policy.
Durante LLC is not responsible for the acts or omissions of Lemon
Squeezy or your payment provider.


9. REFUND POLICY

Because the Software is a digital product delivered electronically
with a license key, all sales are final once the license key has
been delivered to you, except where a refund is required by
applicable law or granted at the discretion of Durante LLC or the
merchant of record. If you experience a technical problem that
prevents the Software from functioning, contact us before requesting
a refund and we will make a good-faith effort to resolve it. Refund
requests are handled in accordance with the merchant of record's
refund procedures.


10. UPDATES AND SUPPORT

Durante LLC may, but is not obligated to, provide updates, bug
fixes, or technical support for the Software. Any updates provided
are governed by this Agreement unless accompanied by a separate
license. Durante LLC may modify, suspend, or discontinue the
Software or any feature at any time without liability to you.


11. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT
WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT
PERMITTED BY APPLICABLE LAW, DURANTE LLC DISCLAIMS ALL WARRANTIES,
INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
NON-INFRINGEMENT. DURANTE LLC DOES NOT WARRANT THAT THE SOFTWARE
WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ANY PARTICULAR
HARDWARE, OPERATING SYSTEM, OR DIGITAL AUDIO WORKSTATION.

Some jurisdictions do not allow the exclusion of implied warranties,
so some of the above exclusions may not apply to you. In that case,
any implied warranty is limited to the minimum scope and duration
permitted by law.


12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
DURANTE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA,
GOODWILL, OR AUDIO WORK, ARISING OUT OF OR RELATED TO YOUR USE OF OR
INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES.

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF DURANTE LLC UNDER
THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE
SOFTWARE. Some jurisdictions do not allow the limitation or
exclusion of liability for certain damages, so some of the above
limitations may not apply to you.


13. TERM AND TERMINATION

This Agreement is effective until terminated. It will terminate
automatically without notice if you breach any of its terms. Upon
termination, you must cease all use of the Software and destroy all
copies in your possession. Sections concerning Ownership, Disclaimer
of Warranties, Limitation of Liability, and Governing Law survive
termination.


14. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by and construed in accordance with the
laws of the State of California, United States, without
regard to its conflict-of-laws principles. You agree that any
dispute arising out of or relating to this Agreement shall be
subject to the exclusive jurisdiction of the state and federal
courts located in that State, except where applicable consumer-
protection law grants you the right to bring proceedings in your
country of residence.


15. PRIVACY

Durante LLC's collection and use of personal information in
connection with your purchase and use of the Software is described
in our Privacy Policy, available at azothaudio.com. The Software
itself verifies its license offline and does not transmit your usage
data back to Durante LLC. The only network request the Software
makes is the optional, user-initiated "Check for updates" request
described in Section 3.


16. ENTIRE AGREEMENT; SEVERABILITY; CHANGES

This Agreement constitutes the entire agreement between you and
Durante LLC regarding the Software and supersedes all prior
understandings. If any provision is held unenforceable, the
remaining provisions remain in full force and effect, and the
unenforceable provision will be modified to the minimum extent
necessary to make it enforceable. Durante LLC may update this
Agreement for future versions or downloads of the Software; the
version accompanying your installed Software governs your use of
that copy.
